Acceptable Use Policy of the Services
This Acceptable Use Policy (the “AUP”) sets forth certain Signal House LLC (“Company”) policies and procedures that apply to the use of any services (“Services”) ordered by a customer (“Customer”) from Company (whether pursuant to Company’s Terms of Service or pursuant to a separate written agreement between Customer and Company which references this AUP) (the “Agreement”). All use of the Services by Customer and by any person who accesses or uses the Services through Customer’s account, including Customer’s employees, contractors, and authorized users and, where Customer resells the Services or provides sub-account access, its customers, sub-account holders, and their end users (each, a “User”), is subject to this AUP. Company reserves the right, at its discretion, to modify this AUP at any time by posting a notice on the Services, or by sending Customer a notice via email. Customer shall be responsible for reviewing and becoming familiar with any such modifications. Use of the Services by Customer following such notification constitutes Customer’s acceptance of the terms and conditions of the AUP as modified. All restrictions and limitations set forth in this AUP are in addition to and do not limit any of the restrictions or limitations set forth in the Agreement.
Company may suspend, restrict, or terminate Customer's or any User's access to all or any part of the Services immediately and without notice if Customer or any User violates, or Company reasonably suspects that Customer or any User has violated, this AUP, or if Company determines that such action is necessary to protect the Services, Company's systems or network, or any other customer or third party. Company will have no liability for any such suspension, restriction, or termination, and no such action will relieve Customer of its obligations under the Agreement. Customer remains liable for all fees and charges incurred through the Services, including through any use in violation of this AUP, and for all fines, penalties, pass-through charges, and other costs imposed by any carrier, The Campaign Registry, or other third party as a result of any violation of this AUP by Customer or any User. Customer shall promptly report to Company any violation of this AUP of which it becomes aware and shall cooperate with Company, as requested, to investigate and remedy any violation. Company may investigate suspected violations of this AUP and may disclose information to carriers, The Campaign Registry, law enforcement, or third parties that notify Company that they have been harmed by a violation. Company’s failure to enforce this AUP in any instance does not waive its right to do so later.
Customer is responsible for all activity conducted through Customer’s account or otherwise conducted by Customer in connection with the Services, and Customer shall use the Services in compliance with all applicable federal, state, and local laws, and regulations (including, without limitation, the Telephone Consumer Protection Act, the CAN-SPAM Act, the Telemarketing Sales Rule, the TRACED Act, state telemarketing and consumer protection laws, and laws and regulations related to data privacy and the transmission of personal data). Customer shall comply with all message throughput, volume, and rate limits set forth in the Agreement, the applicable order form, or any applicable carrier or registration requirement.
Where Customer resells the Services or provides any third party, including its own customers, affiliates, or sub-account holders, with access to or the benefit of the Services, Customer shall ensure that each such person complies with this AUP, shall require each such person to be bound by terms no less protective of Company than this AUP, and remains fully responsible and liable for their acts and omissions in connection with the Services as if they were Customer's own. Customer shall promptly suspend or terminate any such person’s access to the Services upon becoming aware of a violation of this AUP or upon Company’s request.
In addition, and without limiting the foregoing, Customer shall not (and shall not permit its Users or any third party to), directly or indirectly:
