Signal House, LLC Terms of Service

1. Introduction

These Terms of Service (“Terms”) govern your use of the services provided by Signal House, LLC (“we,” “our,” or “us”). By accessing or using our services, you agree to be bound by these Terms.

2. Services

We provide communication and related services (“Services”). We reserve the right to modify or discontinue the Services at any time without notice.

3. Account Registration

To use our Services, you must create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

By using our services, you acknowledge that Signal House may create a 10DLC branded landing page for your company to be used during the 10DLC A2P submission and vetting process. You further acknowledge this webpage is the registered webpage associated with your Brand, each Campaign under that brand, and is the means by which you are obtaining consent for any SMS or MMS messages sent from numbers assigned to the aforementioned Campaigns. You acknowledge that it is Your responsibility to ensure all items of the privacy policy and SMS terms are representative of Your company’s practices.

4. Acceptable Use

You agree to use our Services in compliance with all applicable laws and regulations. You must not:

  • Use the Services for any unlawful purpose.
  • Interfere with or disrupt the Services or servers/networks connected to the Services.
  • Use the Services to transmit any unsolicited commercial communication or spam.
  • Message any number from which you do not have prior, express, written consent to message.
  • Use the Services to transmit SHAFT (Sexual, Harassment, Alcohol, Firearm, or Tobacco) content.
  • Engage in fraudulent or deceptive practices, including but not limited to snow-shoeing, smishing, phishing, and/or spear-fishing.

You agree that all messages transmitted from, or through the use of, our Services, are to individuals that have granted you prior, express, written consent to message.

You agree to not send traffic for Forbidden Message Categories in the US/Canada, and traffic Signal House deems as forbidden:

  • High Risk Financial Services:
    • Payday loans
    • Short term high-interest loans
    • New loan soliciting
    • Third party loans (including mortgage lending)
    • First party loans in the mortgage industry
    • Student loans
    • Cryptocurrency

5. Fees and Payment

You agree to pay all applicable fees for the Services as outlined in your service agreement. Fees are non-refundable except as required by law.

You further agree and acknowledge that any costs incurred (including fees, charges, penalties, fines, and any other costs) for sending unsolicited or SHAFT content will be directly passed to You, and your service may be terminated.

6. Confidentiality

You agree to maintain the confidentiality of any non-public information disclosed to you by us, including business, technical, and financial information.

7. Privacy

Your use of the Services is also governed by our Privacy Policy, which is incorporated by reference into these Terms.

8. Limitation of Liability

To the maximum extent permitted by law, Signal House, LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from:

  • Your use or inability to use the Services.
  • Any unauthorized access to or use of our servers and/or any personal information stored therein.
  • Any interruption or cessation of transmission to or from the Services.

9. Indemnification

You agree to indemnify, defend, and hold harmless Signal House, LLC, its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses, including reasonable attorney’s fees, arising out of or in any way connected with your access to or use of the Services or your violation of these Terms.

10. Termination

We may terminate or suspend your account and access to the Services at our sole discretion, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Services will immediately cease.

11: Intellectual Property and SaaS License Grant:

11.1 Intellectual Property

We own all rights, title, and interest in and to the Services, including all intellectual property rights. You are granted a limited, non-exclusive, non-transferable, and revocable license to use the Services for your internal business purposes.

11.1 SaaS License Grant

Subject to User’s continued compliance with this Agreement, Signal House LLC, together with its affiliates and subsidiaries (collectively, “Signal House and its Affiliates (CPaaS)”), grants User a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to access and use the Signal House CPaaS software-as-a-service platform, including all associated systems, tools, interfaces, workflows, configurations, databases, content, and documentation (collectively, the “Platform”), solely for User’s internal business purposes during the Term and strictly in accordance with this Agreement.

11.2 Prohibition on Copying, Reproduction, and Extraction

Except as expressly authorized in writing by Signal House and its Affiliates (CPaaS), User shall not, directly or indirectly, copy, reproduce, duplicate, replicate, extract, record, transcribe, translate, modify, adapt, distribute, transmit, display, publish, license, sublicense, sell, lease, rent, or otherwise exploit any portion of the Platform or any underlying technology, logic, structure, or functionality thereof.

These prohibitions apply to all forms of copying or reproduction, whether digital, electronic, physical, analog, manual, automated, photographic, audio, video, screen-based, AI-assisted, mechanical, or otherwise, including but not limited to screenshots, screen recordings, workflow recordings, data scraping, mirroring, printed materials, handwritten notes created for replication purposes, or reconstruction from observation or memory.

11.3 No Reverse Engineering or Functional Replication

User shall not reverse engineer, decompile, disassemble, decode, translate, or otherwise attempt to derive or discover the source code, object code, system architecture, data models, algorithms, workflows, logic, methodologies, or trade secrets underlying the Platform, except to the extent such restriction is expressly prohibited by applicable law and then only upon prior written notice to Signal House and its Affiliates (CPaaS).

11.4 No Competitive or Substantially Similar Use

User shall not use the Platform, or any information derived from the Platform, to design, develop, build, replicate, enhance, or assist in the creation of any product, service, workflow, platform, or system that is competitive with or substantially similar to the Platform or any of its components, whether for internal use, commercial use, or for the benefit of any third party.

This restriction applies regardless of whether the resulting product or service is created independently, from memory, through abstraction, or with modifications, and survives termination of this Agreement.

11.5 Affiliates, Contractors, and Third Parties

User shall not permit any affiliate, employee, contractor, consultant, agent, service provider, or other third party to access or use the Platform except as expressly authorized under this Agreement.

User shall be fully responsible and liable for any breach of this Agreement by such parties as if committed by User directly.

11.6 Intellectual Property Ownership

As between the parties, Signal House and its Affiliates (CPaaS) and its licensors retain all right, title, and interest in and to the Platform and all related intellectual property rights, including all software, systems, configurations, workflows, processes, data structures, interfaces, documentation, enhancements, and derivative works thereof (“Signal House IP”).

No rights or licenses are granted to User except as expressly set forth in this Agreement. All rights not expressly granted are reserved by Signal House and its Affiliates (CPaaS).

12.7 Confidential Information and Trade Secrets

User acknowledges that the Platform, Signal House IP, and all non-public information relating thereto constitute Confidential Information and may include Trade Secrets under applicable law.

User agrees to protect such Confidential Information in accordance with this Agreement and not to use or disclose such information except as expressly permitted herein.

11.8 Non-Circumvention

User shall not take any action intended to circumvent the Platform, the Platform’s technical safeguards, business model, usage limitations, pricing, access controls, or contractual restrictions, nor shall User attempt to obtain the benefits of the Platform without payment or authorization.

11.9 Remedies; Injunctive Relief

User acknowledges that any breach of this Section would cause irreparable harm to Signal House and its Affiliates (CPaaS) for which monetary damages would be an inadequate remedy.

Accordingly, Signal House and its Affiliates (CPaaS) shall be entitled to seek injunctive relief, specific performance, and other equitable remedies, without the requirement of posting bond, in addition to all other remedies available at law or equity.

11.10 Survival

The provisions of this Section shall survive termination or expiration of this Agreement for any reason.

11.11 Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws principles.

12. Dispute Resolution

Any disputes arising out of or in connection with these Terms or the Services shall be resolved through binding arbitration in Columbus, Ohio, in accordance with the rules of the American Arbitration Association.

13. Changes to the Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days’ notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
